Terms & Conditions.

Effective Date: September 21, 2026

These Terms & Conditions ("Terms") apply to your use of arkansasdigitalforge.com and certain services provided by Arkansas Digital Forge LLC ("Arkansas Digital Forge," "ADF," "we," "us" or "our").

By accessing or using our website, you agree to these Terms. Customers purchasing services from ADF may also be subject to a proposal, estimate, statement of work, service agreement or other written agreement.

Our Services

Arkansas Digital Forge provides technology and digital business services that may include website design and development, website hosting and maintenance, artificial intelligence solutions, business automation, cybersecurity, social media management, digital business systems, consulting and custom technology solutions.

The specific scope, pricing, timeline, deliverables, service limits and other requirements of a customer engagement may be established through a separate proposal, estimate, statement of work, service agreement or other written agreement.

If a separate written agreement conflicts with these general Terms, the terms of the separate written agreement will control with respect to that project or service.

Website Use

You may use this website for lawful business and informational purposes. You agree not to use the website in a manner that could damage, disable, interfere with or compromise the website, our systems or other users.

You may not attempt to gain unauthorized access to our systems, accounts, servers, data or other technology infrastructure.

Quotes, Proposals and Project Scope

Service information on this website is provided for general informational purposes and does not constitute a binding quote. Project pricing is provided through a personalized proposal.

Project pricing, scope and timelines may vary depending on requirements, complexity, integrations, content, technology and other project-specific considerations.

A project is not considered accepted until the applicable proposal, agreement, deposit or other required authorization has been completed.

Changes requested after a project begins may affect pricing, deliverables and completion timelines. Additional work outside the agreed scope may require additional fees.

Client Responsibilities

Customers are responsible for providing accurate information, content, credentials, approvals, access and other materials reasonably required for ADF to perform the agreed services.

Customers are responsible for ensuring they have the legal right to provide and use any text, photographs, graphics, logos, trademarks, video, data or other materials supplied to Arkansas Digital Forge.

Project delays caused by missing information, delayed approvals, unavailable access or other customer-controlled circumstances may result in changes to the project schedule.

Payments, Deposits and Fees

Pricing and payment requirements will be communicated before or during the engagement. Depending on the service, Arkansas Digital Forge may require deposits, milestone payments, recurring fees, annual prepayment or payment in full.

Unless otherwise stated in writing, standalone website development projects require a 50% project deposit before development begins, with the remaining balance due prior to launch or final delivery.

Customers are responsible for paying all agreed fees according to the payment schedule established for their project or service.

Own-It Website Projects

Customers purchasing an Own-It website pay the agreed website development price separately from ongoing hosting, maintenance and other recurring services unless those services are specifically included in the applicable proposal.

After the project has been paid in full, the customer will receive ownership or control of the completed customer-specific website and agreed project deliverables, subject to any applicable third-party licenses, software restrictions and intellectual property provisions contained in these Terms or the applicable agreement.

Ongoing website hosting, maintenance, updates and technical support are not included indefinitely with an Own-It website purchase. Customers may purchase ADF Website Care or make other hosting arrangements following completion of the project.

Website Care

ADF Website Care and Website Care+ are recurring services intended to provide hosting, maintenance and other website support described in the applicable service plan.

Website Care services are provided only while the customer's applicable recurring service remains active and in good standing.

Content updates, development work, redesigns, integrations or other services exceeding the limits of the applicable Website Care plan may require additional fees.

ADF Managed Business Packages

Eligible ADF Managed Business Packages may combine website development, website hosting, maintenance, artificial intelligence, automation, social media, cybersecurity, reporting, strategy and other services under a recurring monthly or annual payment.

Managed package services are bundled specifically for each ADF plan and are not equivalent to purchasing each standalone ADF service package separately.

Unless otherwise stated in writing, ADF Managed Business Packages require an initial 12-month service agreement. Monthly plans are billed according to the applicable agreement. Annual plans are prepaid and may receive discounted pricing.

Website development included with an eligible Managed Business Package does not require a separate upfront website development fee. Standard website hosting and maintenance are included for the duration of the active Managed Business Package.

Upon successful completion of the initial 12-month Managed Business Package agreement and payment in full of all amounts due under that agreement, the customer will receive ownership of the completed customer-specific website and agreed website deliverables, subject to applicable third-party licenses, software restrictions and ADF's retained intellectual property.

Additional services, development, content, automation, cybersecurity work, social media services or other work outside the included Managed Business Package may require additional fees.

Completion or Ending of a Managed Service

Hosting, maintenance, support, software access, artificial intelligence services, automation services and other recurring services included with an ADF Managed Business Package are provided while the applicable service agreement remains active and in good standing.

After the customer successfully completes the initial 12-month agreement and all amounts due have been paid, ownership of the completed customer-specific website and agreed website deliverables will transfer to the customer, subject to applicable third-party licenses and ADF's retained intellectual property.

Completion of the initial 12-month agreement does not require the customer to continue an ADF Managed Business Package in order to retain ownership of the transferred customer-specific website.

After completion of the initial agreement, the customer may choose to renew an ADF Managed Business Package, move to an applicable ADF Website Care plan, or arrange for hosting and maintenance through another provider.

If the customer does not continue an ADF recurring service, ADF-provided hosting, maintenance, support, software access, AI services, automation services and other recurring features may end.

Third-party products, licenses, software, subscriptions, APIs and services do not become customer-owned merely because they were used in connection with the website or Managed Business Package. Continued use of those services may require the customer to establish or maintain separate accounts and pay applicable provider fees.

ADF may assist with transferring an eligible website to another hosting provider. Basic account access or reasonable handoff information may be provided following successful completion of the agreement. Migration, reconfiguration, troubleshooting or other technical work required to move the website to another provider may require an additional fee.

Early Cancellation of Managed Business Packages

ADF Managed Business Packages are based on an initial 12-month service commitment unless otherwise stated in writing.

If a customer cancels or terminates a Managed Business Package before completing the initial 12-month agreement, any remaining payment obligations will be determined by the applicable service agreement.

Website ownership under the Managed Business Package earn-to-own structure is conditioned upon successful completion of the initial 12-month agreement and payment in full of all amounts due.

A customer who does not complete the initial 12-month agreement does not automatically receive ownership of the Managed website unless otherwise provided in the applicable service agreement or separately agreed to in writing by ADF.

Domain Names and Ownership

Domain registration, renewal and premium domain purchase costs are separate from ADF website development and Managed Business Package pricing unless specifically stated otherwise in writing.

Whenever practical, domain names obtained for a customer will be registered in the customer's name or customer-controlled account so the customer maintains ownership and control of the domain.

Customers are responsible for maintaining current payment information and renewing domains that they own or control. ADF is not responsible for the expiration, loss or acquisition by another party of a domain caused by a customer's failure to renew or maintain the domain.

If ADF purchases or manages a domain on behalf of a customer, the customer remains responsible for applicable registration, renewal, transfer and premium domain costs unless otherwise stated in writing.

Website Hosting

Standard website hosting is included with active ADF Website Care plans and eligible ADF Managed Business Packages as described in the applicable service offering or agreement.

Hosting for an Own-It website is an ongoing service and is not included indefinitely in the one-time website development price unless specifically stated otherwise.

Following completion of a Managed Business Package agreement, continued ADF hosting requires an active Managed Business Package, Website Care plan or other applicable hosting arrangement.

ADF may use third-party infrastructure or hosting providers to provide website hosting services. Hosting performance, availability and security may therefore depend in part on third-party providers.

Third-Party Costs

Certain projects and services may require third-party products or services. Unless specifically included in writing, these costs are separate from ADF's service fees.

Third-party costs may include:

• Domain registration and renewal fees
• Premium domain purchases
• Business email services
• Premium software and plugins
• Artificial intelligence usage or API fees
• CRM or automation platform fees
• Text messaging, email or communication fees
• Advertising spend
• Payment processing fees
• Stock photography, video or licensed media
• Other third-party products or services required for the customer's project

Third-party providers may change their pricing, features, terms or availability at any time. ADF does not control those changes and may adjust customer billing or recommend alternative services when necessary.

Third-Party Services

Solutions provided by Arkansas Digital Forge may use or integrate with third-party products and services, including hosting providers, domain registrars, software platforms, artificial intelligence providers, payment processors, social networks, APIs, analytics services and other technology vendors.

Third-party services are governed by their own terms, policies, pricing and availability. Arkansas Digital Forge does not control and cannot guarantee the uninterrupted operation, security, features or continued availability of third-party services.

Artificial Intelligence and Automation

Some ADF services may incorporate artificial intelligence, automated systems or third-party AI technology.

AI-generated or automated outputs may contain errors, omissions, inaccuracies or unexpected results. Customers are responsible for reviewing important outputs before relying on them for business, financial, legal, medical, regulatory or other significant decisions.

Arkansas Digital Forge does not guarantee that artificial intelligence or automated systems will operate without interruption or produce accurate results in every circumstance.

Usage limits, third-party AI fees, API charges, messaging costs or other usage-based expenses may apply depending on the customer's system and service plan.

Cybersecurity Services

Cybersecurity services are intended to help customers identify risks and improve their security practices and technology environment.

No cybersecurity product, service, configuration or monitoring system can eliminate every risk or guarantee that a customer will never experience unauthorized access, malware, data loss, fraud, service interruption or another security event.

Customers remain responsible for maintaining appropriate business practices, employee procedures, account controls, insurance, backups and other safeguards appropriate for their organization.

Social Media Management

Social media services may include content planning, graphics, copywriting, publishing, short-form video, account management, reporting, advertising management and other services described in the applicable package or proposal.

Arkansas Digital Forge does not guarantee a specific number of followers, views, impressions, leads, customers, sales or other results from social media services.

Social media platforms control their own algorithms, policies, account restrictions, advertising systems and availability. Changes made by those platforms may affect performance or the services ADF can provide.

Advertising spend is separate from ADF management fees unless specifically stated otherwise.

Customer Accounts and Credentials

Customers may provide ADF with authorized access to accounts, websites, hosting platforms, social media accounts, software systems and other services when necessary to perform contracted work.

Customers are responsible for maintaining accurate ownership information and appropriate access controls for their accounts.

ADF will use customer-provided access for legitimate service purposes associated with the applicable engagement.

Intellectual Property

Unless otherwise stated in writing, customers retain ownership of materials they provide to Arkansas Digital Forge.

Upon full payment for an Own-It project, the customer receives the rights to the completed customer-specific deliverables identified in the applicable project agreement, subject to third-party licenses and the exclusions described below.

For an eligible website developed as part of an ADF Managed Business Package, the customer receives ownership of the completed customer-specific website and agreed website deliverables after successfully completing the initial 12-month service agreement and paying all amounts due.

Arkansas Digital Forge retains ownership of its pre-existing intellectual property, internal tools, reusable code, frameworks, templates, processes, methodologies, automation components, know-how and other materials that were not created exclusively as customer-specific deliverables.

ADF's retained intellectual property does not become customer-owned solely because it was incorporated into, used to create, support or operate a customer project.

Third-party software, fonts, images, plugins, APIs, platforms and other licensed materials remain subject to the rights and restrictions of their respective owners.

Portfolio and Marketing Use

Unless otherwise agreed in writing, Arkansas Digital Forge may identify completed public-facing work as part of its portfolio and may display publicly available portions of completed projects for marketing and promotional purposes.

Confidential information, private systems, customer data and non-public business information will not be intentionally displayed as portfolio material without appropriate authorization.

No Guarantee of Business Results

ADF designs and provides technology and digital services intended to support business operations, marketing and growth. However, business results depend on many factors outside ADF's control.

Unless specifically guaranteed in a written agreement, ADF does not guarantee specific rankings, traffic levels, leads, revenue, sales, conversions, followers, cybersecurity outcomes or other business results.

Service Availability

Arkansas Digital Forge will make reasonable efforts to provide services professionally and reliably, but no website, hosting platform, software system, network or third-party service can be guaranteed to operate without interruption.

Maintenance, technical failures, internet outages, third-party provider issues, security incidents, events beyond our reasonable control or other circumstances may temporarily affect service availability.

Limitation of Liability

To the fullest extent permitted by applicable law, Arkansas Digital Forge LLC will not be liable for indirect, incidental, special, consequential or punitive damages arising from the use of our website or services, including loss of profits, revenue, data, business opportunities or goodwill.

To the fullest extent permitted by applicable law, ADF's aggregate liability arising from a particular paid service will not exceed the amount paid to ADF by the customer for the service giving rise to the claim during the applicable service period, except where such a limitation is prohibited by law or otherwise established in a separate written agreement.

Suspension and Termination

Arkansas Digital Forge may suspend services for nonpayment, misuse, unlawful activity, security concerns, material breach of an applicable agreement or other circumstances permitted by the customer's service agreement.

Cancellation or termination of recurring services does not automatically cancel or refund amounts already earned, due or paid, except as required by law or expressly provided in the applicable agreement.

Any remaining contractual payment obligations, including obligations under an initial 12-month Managed Business Package agreement, will be governed by the applicable service agreement.

Arkansas Digital Forge may update these Terms periodically. When changes are made, the updated Terms will be posted on this page with a revised effective date.

Changes to these website Terms do not automatically modify a separately executed customer agreement unless that agreement provides otherwise.
